“And now, at the start of my seventh decade and after more than 13 years of endurance adventures that include successes I never thought possible, I find myself at a crossroads. I have stopped planning, beyond the World Majors. Instead, I will let my body and my desires at the time decide for me. What I know, though, is this: I want to always live a life of challenge and audacity in everything that I do. Eventually, age and presumably illness will take their toll and I will no doubt be forced to cede ground, but I will do so only reluctantly and hopefully with dignity. I will give age its due but not embrace it as an excuse to coast. Anything, or, more realistically, almost anything, is possible. Indeed, even the unlikeliest among us can become an Ironman.”

Jeffrey is a successful business executive, an accomplished author of three books, and a two-time Ironman and an ultramarathoner. Jeffrey lives in Tel Aviv, where in 2024 he founded Stickers of Meaning, a project that preserves and educates about the memorial stickers that have appeared throughout Israel since October 7, 2023—honoring the fallen and inspiring the living with messages of love, purpose, daring, and joy.

THE IMPORTANCE OF ACTING EARLY WHEN LIVING WITH LUPUS
Recognizing the Disproportionate Impacts of Lupus on Hispanic and Latinx Communities

Women of color are disproportionately affected by systemic lupus erythematosus (SLE), the most common form of lupus. SLE is a chronic, inflammatory disease that can result in permanent damage to major organs.[1] Notably, it is estimated that 21 percent of those living with lupus in the U.S. are Hispanic.[2] Patients of color, including Hispanic people living with SLE, also have significantly higher rates of lupus nephritis (LN), a potentially life-threatening complication of lupus, compared to White patients.2

Hispanic and Latinx individuals may also face distinct challenges that can impact access to healthcare that may make managing the disease even more difficult, such as language barriers.[3],[4]

Fortunately, early intervention with the use of FDA-approved medications can help reduce the risk of organ damage progression.[5]

In honor of Hispanic Heritage Month, on Tuesday, September 24, Guillermo Valenzuela, M.D. is available to discuss the effect of lupus on the Hispanic and Latinx communities. Dr. Valenzuela, who is the Medical Director of the Internal Rheumatology and Immunology Specialists medical center, can also discuss the unique challenges these communities face and the importance of early disease intervention.

Allen & Co. Sun Valley Conference Will See Annual Influx Of Media And Tech Moguls, But Economic Climate Freezes Major Dealmaking

Allen & Co.’s annual Sun Valley Conference is known for drawing an A-list roster of execs from across the media and tech realms, with a generous sprinkling of sports commissioners, politicos and other notables added to the mix.

This year’s event, which gets under way Tuesday, looks to be no exception to the rule, though the atmosphere is likely to be subdued given the general M&A climate. (On the plus side: No N95 masks required in all that fresh air!) Media chiefs including Disney’s Bob Iger, Warner Bros Discovery’s David Zaslav and Paramount Global CEO Bob Bakish and non-executive chair Shari Redstone are expected, as are Netflix’s Ted Sarandos, Meta’s Mark Zuckerberg, Apple’s Tim Cook and Microsoft’s Satya Nadella.

Members of the press making the trek to Idaho are kept at a distance from the goings-on inside the Sun Valley Resort, and event organizers frown on participants doing any media relations beyond waving at cameras and briefly chatting at the valet line. CNBC has typically established a remote set a safe distance away, drawing a few guests, though not to spill any details of what happened inside. This year’s labor situation — with the WGA already out on strike and SAG-AFTRA facing a deadline with the AMPTP on Wednesday — will only add to the incentive to hunker down out of the reach of zoom lenses.

Because of the sheer tonnage of potentates in attendance, and perhaps because of the clampdown on press access, the presumption is that dealmaking dominates attendee agendas. Reports about the annual confab often cite major tie-ups whose roots can be traced back to Sun Valley, though the list is getting a bit long in the tooth. The most often-cited roster includes Disney-Capital Cities/ABC (1995); Comcast-NBCUniversal (2009) and Jeff Bezos-Washington Post (2013).

Even when the economy is humming, the conference isn’t the hotbed of M&A transactions many press depictions make it out to be, though it does provide neutral and luxurious ground where conversations can begin. Still, plenty of massive deals — Disney’s $71.3 billion acquisition of most of 21st Century Fox, the $43 billion merger of WarnerMedia and Discovery — have been negotiated without any river rafting being involved.

Whatever the topics of the day both inside the official sessions and on clandestine coffee runs and power walks, a few factors are casting a long shadow over the deal market. Inflation is the primary economic issue, while the regulatory environment and tighter oversight during the Biden Administration has also emerged as a disincentive.

According to PitchBook, venture capital deals amounted to only $85.6 million through the first half of 2023 and fell by half during the second quarter compared with levels of a year ago. The tally through the first two quarters was the lowest since 2014. Overall M&A deal volume and values have slumped to their lowest levels since the onset of Covid in 2020.

A recent report from PwC suggests that dealmaking could return in the second half of 2023 as long as sellers are realistic about pricing. Still, interest rates are making financing expensive, which is an obstacle to many transactions. “It’s a buyer’s market out there now, especially for cash-rich corporate acquirors and middle-market deals,” said Brian Levy, global deals industries leader and partner at PwC. “It’s essential for sellers to work harder to prepare for upcoming sales—or risk losing out.”

Traditional media companies are in the process of shaving more than $10 billion in costs from their respective operations and streamlining their structures. The prior embrace of direct-to-consumer streaming, which has burdened companies with costs and no clear path to consistent profitability, has given way to new attempts at austerity. The main question, in terms of M&A, is how would they be able to shed legacy assets? Paramount has been exploring the sale of BET Networks and Warner Bros Discovery reportedly had preliminary conversations about offloading CNN but it’s easier said than done.

Until recently, minority investors like private equity firms didn’t have an avenue to allow them to get a piece of film and TV assets. TPG attained 30% of DirecTV when AT&T spun out the pay TV operator in 2021. Last year, Nexstar Media Group used its own estimable balance sheet to move in on The CW, taking on the broadcast network’s debt in exchange for a 75% equity stake. What reshuffling could be next? Lionsgate has said by this fall it will separate its studio business from Starz and the streaming side of the company. Hasbro is in the process of shedding eOne and Paramount has re-engaged in the process of selling Simon & Schuster, with a year-end closing target.

One transaction with ramifications for many entertainment players isn’t technically in the realm of open-market M&A. Disney and Comcast are coming down the home stretch with their put-call negotiations for Hulu. Disney is expected to buy out Comcast’s remaining 33% stake in the streaming service early next year after both sides flirted earlier this year with the idea of Comcast being the buyer. The final price is to be determined, though the floor valuation has been set at $27.5 billion.

Craig Moffett, in a recent MoffettNathanson note about the Disney-Hulu dance, reflected the general sense of restlessness in the media business, which has reached the halfway point of a grueling year amid a lot of unanswered questions. In the case of Comcast, the company’s apparent decision not to go all-in on buying the two-thirds of Hulu it does not already own puts more focus on the company’s larger strategy. “If not Hulu, what then?” Moffett wondered. “Will they simply move on to something else to buy instead?”

As the Magic 8-Ball would say, signs point to yes.

Today, just as in generations past, Hispanic Soldiers can be especially proud of their achievements and embodiment of core Army Values.

The Army Reserve story cannot be told without reflecting on the remarkable impact made by Hispanic Soldiers. Hispanic Americans have a proud legacy of military service dating back to the Civil War. Whether their heritage can be traced to Spain, Cuba, Puerto Rico, Mexico, or one of dozens of other Spanish-speaking countries or cultures, they’ve answered the “call to duty,” defending America with unwavering valor and honor. Today, more than 17% of America’s Soldiers are of Hispanic or Latino descent, making this the fastest growing segment of the Army. This Year’s Observance is:
“Women Providing Healing, Promoting Hope”

During National Women’s History Month in March, the Army Reserve joins the nation to celebrate the contributions and accomplishments of women.

Women’s History Month stands as a reminder of the strength the Army Reserve has as a diverse all-volunteer force.

Command Sergeant Major (CSM) Raquel A. DiDomenico will share how she became the first female First Sergeant of a Combat Engineer Company in 2015, before combat-designated units were opened to women. DiDomenico will also highlight the achievements of other women in the military.

Of the many accomplished women within the Army Reserve, perhaps the most noteworthy example to date is Lieutenant General (LTG) Jody J. Daniels the Chief of Army Reserve and Commanding General, U.S. Army Reserve Command, the first woman to lead the Army Reserve and the first female commander of any Army component. In this role, LTG Daniels is paving the way for the next generation of female Army Reserve leaders.

Army Reserve diversity is about understanding the value individuals bring and optimizing what they offer to build high-performing and cohesive teams. The Army Reserve is stronger because of this diversity.

The Army story isn’t complete without the historic achievements of women Soldiers and Civilians, who have played a major role in defense of our Nation since the Revolutionary War. Women of every race, class and ethnic background have made historic contributions to the growth and strength of our Army.

To continue this story, the Army Reserve provides leadership opportunities to all Soldiers to enable them to thrive in their careers and build successful lives:
• Since 2016, the Army has trained more than 3,200 women Soldiers into Infantry, Armor and Field Artillery Occupations
• 36% of the Department of the Army Civilian Workforce are Women
• 95 Women Have Graduated Ranger School since 2015

Each February the U.S. Army Reserve joins the nation in observing and reflecting on the tremendous contributions of Black Americans to our country and our history. It is an opportunity to continue highlighting the achievements of the resilient Black men and women—past and present—who have played an integral role in shaping our military.
The U.S. Army Reserve embraces diversity and recognizes the need to create spaces of belonging for everyone—regardless of race, creed, or color. The Force is dedicated to building cohesive teams in an inclusive environment to fight and win our nation’s wars. The annual commemoration of Black History Month provides time to intentionally honor the legacy of Black people who have served in the Army and reinforce the strength that comes when every member of the Force has the opportunity to reach their full potential.
This year, the Army Reserve is underscoring the importance of Black Health and Wellness by focusing on the legacy of Black scholars and medical practitioners and promoting ways Black Soldiers and their families can prioritize wellness.
The theme is of special concern to our guest, Army Reserve Sergeant Renieal Campbell—a pre-med student who is also making her mark among the ranks as the youngest Drill Sergeant in her battalion, all while working as an entrepreneur, model, and pageant competitor.
In fact, Sergeant Campbell was inspired by Captain DeShauna Barber, the U.S. military’s first Black Army Reserve officer to obtain the title of Miss USA in 2016.
Other Black Soldiers Gaining Recent Prominence:
• Lieutenant General Nadja West became the first Black U.S. Army Surgeon General in 2015 and first Black female Lieutenant General in 2016.
• Lieutenant General A.C. Roper made American history on May 14, 2021, by becoming the first African American Lieutenant General in the Army Reserve.
• Command Sergeant Major Michele S. Jones was selected by Lieutenant General James R. Helmly, former Chief of Army Reserve, to become the Command Sergeant Major of the Army Reserve in September 2003. As a result, she became the first Black woman in U.S. Army’s history to serve as a Division Command Sergeant Major.
Army Reserve Sergeant Renieal Campbell discusses the Army Reserve’s dedication to diversity and ensuring equitable treatment for all its members. She’ll also discuss how Black men and women are helping to change the face of leadership and mentorship in the Army Reserve.

As the new year gets underway, Americans are setting new health and fitness goals for themselves and their families. To help stick to these goals throughout the year, everyone may want to take lessons from the best. The Army Reserve is taking health and fitness to a new level – combining a new challenge called the Double Eagle Fitness Challenge along with their Holistic Health and Fitness System (H2F).

The H2F System is an Army-wide program used to improve and prepare Soldiers for the increasingly challenging environments and adversaries they face in this modern era. It includes five disciplines of physical and non-physical readiness such as:

 Physical: building strength, speed, endurance
 Sleep: supporting behaviors that provide optimal brain function
 Nutrition: recognizing optimum food/drink to meet physical and non-physical demands
 Mental: adapting successfully through adverse situations
 Spiritual: creating practices to build resilience in times of stress & hardship
The Double Eagle Fitness Challenge is a 12-week Army Reserve program that includes:
 Cardiovascular exercises
 Strength/resistant training
 High intensity interval training (HIIT)

The new system is designed to bring a cultural change to Soldiers’ perceptions of training for the demands of close combat while building agile, adaptable, and fit troops. Army Reserve Soldiers in various locations, with varying schedules, use the program’s templates as guideposts for their progression of Soldier Readiness.

The program also provides education, coaching, mentoring, messaging, and outreach to improve, restore and maintain the readiness, resilience, and performance of the Total Army.
Learning more about this top-notch health and fitness program can also equip average Americans with the skills to be their best in the new year.

Clinical depression, known as major depressive disorder (MDD), is much more serious than just a case of the holiday blues, and can have a significant negative impact on all aspects of life.

In fact, depression is the leading cause of disability in the world, with an estimated 17.3 million American adults experiencing at least one major depressive episode in the past year.1,2

What’s more – one-third of people in the U.S. with MDD have treatment-resistant depression (TRD), meaning they have not responded adequately to at least two different antidepressants of adequate dose and duration in the current depressive episode.3,4

If you or someone you know are living with depression, now is an important time to check in and make sure the right care plan is in place. If symptoms persist after trying several treatment options, a discussion with a doctor may be needed to determine whether it’s MDD or TRD.

Craig Chepke, MD, will be available to discuss the signs of challenging to treat depression and the treatment options currently available. He will be joined by Sally, a patient living with TRD who is currently taking SPRAVATO® (esketamine) CIII nasal spray to help treat her depressive symptoms.
